| The OnePass Online Auction is a program through which Continental OnePass members residing in the contiguous 48 United States can bid and redeem their accumulated OnePass miles for exciting prizes and special offers. OnePass miles are deducted from your account balance after being declared a high bidder. |
| All OnePass members with a valid e-mail address and access to the internet may participate in the program except where limited. |
| OnePass members who live outside the 48 U.S. may create an auction account and view listings on the OnePass Online Auction. A Ship-to address within the 48 U.S. is required to bid on any item. We do not ship to P.O. Boxes. |
| To participate, you will need to create an auction account linked to your OnePass number. Once you have registered for an account, you may begin placing bids. When you sign in, we will ask for your OnePass number and 4-digit PIN to access your mileage balance. Only accounts with positive mileage balances will be authorized. Please note that your mileage balance will only be deducted if you are declared a winning bidder after the auction closes. | To preview the items available for bid, please select a category from the side navigation bar of each page or click on the image for a specific item. Once you click on a specific item, you will see all information regarding the item up for bid, including the item description, any minimum bid requirements, restrictions, limitation, requirements, the dates and times by which bids must be received, and the current high bid. |

| To create an OnePass Online Auction Account, click on the Sign in link. You will be asked to provide your OnePass number and PIN and then provided with an online registration form to complete. You will only need to fill out this form once. Once logged in, you may place bids with your miles. |
| Your mileage balance will appear on the left-hand side the home page under your name once you log-in. Note we do not track your available mileage during bidding. That means that you need to keep track of your own outstanding bids to ensure that you don't bid more miles than you have. See Bidding Questions for more information about bidding and non-conforming bids. |
| The amount of miles you bid on an item will be deducted from your OnePass account after the end of the auction and you have been confirmed to be the winning bidder of the item. The number of miles you Redeem Now on an item will be deducted from your OnePass account once you have submitted your order. Please note that miles will be deducted from your OnePass account within 24 hours of the close of an auction or entry of a Redeem Now order. |

| To bid on an item, select "Bid Now" located on the desired item screen. Then, enter the amount of your bid as well as desired quantity (if applicable) in the space provided. Finally select the "Bid Now" option again to send your bid. Bids must meet the stated minimum bid requirements and be in whole mile amounts. After placing a bid, a bid confirmation page will appear. Review the details of your bid and confirm that you wish to proceed. If you wish to proceed with the bid, select the "Confirm Bid" option. Your bid will then be registered and you will be sent an electronic bid receipt and an e-mail notice confirming that your bid has been accepted. The bid receipt page will also display a message advising if you have the current winning bid or not. Bids cannot be changed or canceled after they have been confirmed. If you are the highest successful bidder at the conclusion of the online auction, you will be notified via e-mail. |

| At the time a bid is placed a check is run to ensure the bid amount is NOT greater than your current point balance. Continental Airlines, Inc. will not however, track your available miles during bidding. It is your responsibility to make sure that you do not cumulatively bid more miles than you have in your account, among all the items you're bidding on. Your bid is an offer, and when bidding closes, if you are the highest bidder, a valid, enforceable obligation is created. Therefore, you must bid carefully and be aware of how many miles you have and how many bids you have outstanding. If you are declared a winning bidder at the end of the auction, and you do not possess enough miles to cover your bid, all of your bids for that item may be deemed null and void. Continental Airlines will reserve the right to award that item to the next highest bidder with sufficient miles in their account. |

The Dutch Auction format is used to offer multiple identical items in one listing. If the item is available in quantity greater than one and all the items are identical, they are listed as a Dutch Auction with a minimum opening bid.
The winners of a Dutch auction are those bidders with the highest bid amounts at the time of auction close, up to the available quantity for the auction. All winners receive the item at the value of the lowest winning bidder's bid.
In Dutch Auctions, the current standings are always displayed in the bidding history during the course of the auction, and the complete bidding history (including unsuccessful bids) is available as well. Dutch Auction bids must have a higher Total Bid Value than previous bids. The Total Bid Value of the bid is determined by multiplying the mile amount bid by the number of items bid on. Bidders in a Dutch Auction will receive Outbid Notices if they are scrolled off the list of successful Dutch Auction bidders. Therefore Dutch Auction bidders must increase their bids in order to stay within the Winning group. For example, we have 10 CDs, all identical at 5 miles a piece. We list them as a Dutch Auction with a quantity of 10 and an opening bid of 5 miles. Once the 5-mile bids have been received for the 10 items, the minimum bid amount can then be raised to alter the positioning of bidders within the winning group. In this case, other OnePass members may do three things to affect your (bidding) position. They have bid the miles before you (qualified by the time stamp of the bid); have bid more in total (example being 2 CDs at 5 miles = 10 miles); or have bid more miles for one CD (example bid of 15 miles). We follow this methodology so that the "bidding field" is kept level. You may end up winning with a 15 mile bid, provided that number of other bidders bidding 15 (before you or a higher amount) is less than the number of (10) CDs offered. Please note, if one person successfully posts a winning bid for all of the (10) CDs, they are setting the lowest winning bid for that item.

| Redeem Now items allow Continental OnePass members to use their accumulated OnePass miles to purchase items for a fixed number of miles. OnePass miles are deducted from your account balance after you make your purchase. |
| The Redeem Now amount is the number of miles an item is being offered for. You will only need to enter the quantity of items you wish to purchase. When you submit your order, a Confirmation page will display. Check the quantity you entered to make sure it is the number of items you wish to order. If you want to change the quantity, use the "Back" button to return to the Order Entry page. Once you confirm an order, your Order Receipt displays. You can print it for your records, or view it electronically at any time through your Bid Status page. |
| To place a Proxy Bid, decide your maximum bid amount and enter it in the bid box. The system will confidentially store your maximum bid amount and will automatically bid on your behalf in increments up to your maximum bid. Bids will only be placed on your behalf in order to maintain your position as the winning bidder, and will only be placed up to your maximum bid amount. If other participant bids outbid your maximum bid, you will not win the auction. |
| No, there is no limit. You may bid as often as you like. The more miles you accumulate, the more you can bid. You just have to make sure you do not cumulatively bid more miles than you have in your OnePass Account. |
| You can go directly to the item listing and view the bid history page to check your bid status, or you can go to the Bid Status page under My Auction Account page to see the status of all items you are bidding on. |
| Once the online auction closes for an item, you will be notified if your bid was successful via e-mail. From there you will be instructed on the fulfillment process for your item. |
| If you are outbid, the system will automatically e-mail you to let you know. |
If this happens, it means that an earlier bidder has placed a maximum bid amount which is higher than the amount of your maximum bid. When you placed your bid, the Maximum Bid system immediately placed another bid on the earlier bidder's behalf, for an amount just high enough to outbid your maximum bid amount, insuring his or her position as higher bidder.
If the maximum bid that you place is high enough to outbid any other bidder, then Maximum Bid will do the same for you and maintain your position as the current winning bidder.

| Auctions are extended by 5 minutes if a bid is entered within 5 minutes of the close of the auction. On occasion, per the discretion of the OnePass Online Auction team, an auction will be extended by 24 hours of the original closing time if technical difficulties prevent users to login to the auction site and bid on an item for an extended period of time. Bidders who have bid on an item scheduled to close on the day technical difficulties were experienced will be notified via e-mail. This allows all the bidders a fair chance to bid before the auction closes. |

| To place a Redeem Now (also known as a fixed mileage amount) order, please select "Redeem Now" located on the desired item screen. Then, enter the number of items you wish to acquire in the space provided up to the available item quantity. Finally select the "Continue" option to submit your transaction. After placing an order, a transaction confirmation page will appear. Review the details of your transaction and confirm that you wish to proceed. If you wish to proceed with the transaction, select the "Submit" option. Your transaction will then be registered and you will be sent an e-mail confirming your transaction. |

If for any reason an item is received damaged, becomes unavailable, or cannot be fulfilled, Continental Airlines Corporation reserves the right to replace the item with a similar item of equal or greater value. If a similar item is not available, Continental Airlines Corporation may re-deposit the miles used to bid for the item into your OnePass account. |

After you select the "Bid Now" option, you will be given instructions on how to add a 48 U.S. address or edit your personal information in your address book.
